Annex SG — Singapore

APAC mandates are, when the local entity is live, contracted by Sercxi Pte. Ltd. (pending local incorporation — mandates presently contracted by Sercxi B.V., NL) and governed by the laws of Singapore.

**Interim posture.** Pending local incorporation. Until the local entity is live, mandates from this corridor are contracted by Sercxi B.V. (Netherlands) under the Master Terms, with the corridor-specific protections in this annex applied as contractual overlays. During the interim period the governing law of the mandate is Netherlands law, with the PDPA protections in this Annex applied by contractual overlay.

Sercxi has appointed a Data Protection Officer whose contact details are published on the Privacy page. Consent, purpose limitation, notification, access, and correction obligations are administered in accordance with the PDPA.

Outreach by voice, SMS, or fax to Singapore numbers is preceded by a DNC check unless a clear and unambiguous ongoing relationship exists. Written outreach is conducted under legitimate business interest.

Sercxi provides retained executive search advisory to corporate clients. Where activities under a mandate would require an Employment Agency Licence under the Employment Agencies Act, Sercxi will hold the applicable licence and disclose the licence number in the Engagement Letter.

Once the local entity is live, disputes may — by opt-in in the Engagement Letter — be resolved by arbitration under Singapore International Arbitration Centre (SIAC), seat Singapore, in English, one arbitrator. Until then the Master Terms default forum (courts of Amsterdam) applies.
